1st Question:
No major difference, besides that it uses ~3 watts less, write time(copying files from CD to HDD) is slightly slower, and that it runs at 5400RPM when it does not need to run at 7200RPM. Personally, I wouldn't use it as an OS drive, since it boots up slower, but as a gaming drive, it runs very similarly.
2nd Question:
It's more upgradable, which is a major factor if you hate constantly upgrading. Plus DDR3 is much faster than DDR2(in long term usage, but in short term, it is slightly slower).
