Technically, she's a not a time lord. She's a "child of the TARDIS" but not a time lord. Jenny was the closest to being a time lord, but the Doctor still did not consider her one. Of course, that's assuming when he said that is wasn't fueled by his dislike of her existence at the time.

Different biology. They are two different races.

River was influenced by the TARDIS, but she is still born of two human parents. It's also confirmed that the time lords are one of the oldest races, predating humans by a long shot. Also, even if she is considered a time lord (she isn't) Donna Noble would actually have been the first human time lord (she wasn't considered a time lord either, in fact it was killing her quite painfully).

Hell, Jenny was the closest to being a real time lord.

Edit: Also, it should be pointed out that regeneration may or may not have been a genetic modification related to of course the TARDIS. I haven't seen this confirmed either way however.
